1. Acceptance of Terms

By accessing bizl.com, creating an account, using our free tools, or purchasing any service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you and Bizl LLC, a Delaware limited liability company ("Bizl," "we," "us," or "our").

If you are using bizl.com on behalf of a business, you represent that you have the authority to bind that business to these Terms, and that "you" and "your" in these Terms refer to both you as an individual and the business.

If you do not agree to these Terms, do not use our services.

2. Description of Services

bizl.com provides AI-powered local visibility optimization services for local businesses. Our services include:

• AI Search Optimization, monitoring your business's mention rate across ChatGPT, Gemini, Perplexity, Claude, and Grok, and taking action to improve it
• Citation Building, submitting your business information to 120+ local directories with consistent NAP data
• Schema and Content, writing and installing JSON-LD schema markup on your website
• Local SEO / Google Business Profile, optimizing your GBP for both Google local search and AI recommendations
• Competitor Intelligence, tracking up to 7 competitors' AI visibility scores and identifying prompt gaps
• Free tools, AI Visibility Scanner, Schema Generator, Citation Audit Preview, and Competitor Gap Preview

Service details, inclusions, and pricing are described on our pricing page. The pricing page is incorporated into these Terms by reference.

3. Eligibility

You must be at least 18 years old to create an account or purchase services. Our platform is designed for business-to-business use, we primarily serve local businesses, their owners, and agencies managing local business clients. By using bizl.com, you represent that you are using the service for a lawful business purpose.

4. Your Account

When you create an account, you agree to provide accurate, complete, and current information. Inaccurate business information, including your business name, address, or phone number, will directly affect the quality and effectiveness of the citation, schema, and GBP work we perform. Inaccurate intake data does not entitle you to a refund if the service is delivered based on the information you provided.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@bizl.com if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized account use.

You must promptly update your account information if it changes, particularly your business address, phone number, or website URL, as these affect active service delivery.

5. Billing and Subscriptions

bizl.com offers monthly and annual subscription plans, as well as credits for agencies and one-time services. Current plan details and pricing are listed on our pricing page.

All payments are processed securely by Stripe. We do not store your payment card information on our servers. Stripe's terms and privacy policy govern the handling of your payment data. All prices are listed and charged in US dollars (USD) unless otherwise noted.

Monthly subscriptions are billed on the same calendar date each month, beginning on your sign-up date. Annual subscriptions are billed on sign-up and again on each annual anniversary. If your billing date falls on a day that does not exist in a given month (e.g., the 31st), billing will occur on the last day of that month.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will receive an email reminder at least 7 days before your annual subscription renews. For monthly subscriptions, you may cancel at any time, see Section 6.

Annual plans are billed upfront for 12 months at a discounted rate (approximately 20% savings versus monthly billing). Annual plans are non-refundable after the 14-day money-back window described in Section 6.2, except as required by law.

We reserve the right to change pricing for future billing periods. For active subscribers, we will provide at least 30 days' notice of any price increase before it takes effect on your account. If you do not agree to a price change, you may cancel before the new price takes effect.

If a payment fails, we will attempt to retry the charge. If payment is not collected within 7 days of the due date, service may be suspended until payment is received. We will notify you by email before suspending service.

6. Cancellation and Refunds

You may cancel your monthly subscription at any time through your account dashboard or by emailing support@bizl.com. Cancellation takes effect at the end of your current billing period. You will retain access to your plan and reports through the end of the period you have already paid for. We do not issue prorated refunds for partial months.

Annual subscriptions may be cancelled within 14 days of purchase for a full refund. After the 14-day window, annual subscriptions are non-refundable. Cancellation after the 14-day window stops future renewals but does not entitle you to a refund for the current annual period.

Credits are non-refundable once purchased, except within the 14-day guarantee window for the initial credit purchase. Credits do not expire.

Work that has been completed, such as citation submissions already filed, schema already installed, or GBP updates already made, represents delivered services and is non-refundable outside the 14-day window. If you believe work was performed incorrectly, contact us and we will assess and remedy the issue at no additional cost.

To cancel your subscription: use the account dashboard, or email support@bizl.com with "Cancel" in the subject line. To request a refund within the 14-day window: email support@bizl.com with "Refund Request" in the subject line and your order details. We will process eligible refunds within 5 to 10 business days.

7. Service Delivery

Delivery timelines described on our website and service pages are estimates based on typical project timelines, not contractual guarantees. Timelines begin when your intake form is fully submitted, not when payment is made. Common timeline references:

• Foursquare claim and optimization: within 48 hours of intake form completion
• Schema installation: within 5 to 7 business days (requires brief website access)
• Citation submissions begin: within 5 business days
• First monthly report: delivered within 35 days of service start
• First visible AI improvements: typically 14 to 21 days

Certain services require your participation, such as granting website access for schema installation, providing your GBP login credentials for GBP optimization, or completing the intake form with accurate business information. Delays caused by incomplete information or unavailable access do not extend our delivery obligation or entitle you to a refund. We will communicate clearly about what we need and when.

Some services depend on third parties outside our control, including directory websites accepting submissions, Foursquare's verification process, Google's GBP review timelines, and Google's indexing of schema markup. Delays caused by third-party processes do not constitute a service failure on our part.

8. Your Business Data

Your business information, including your business name, address, phone number, website content, GBP data, and competitive intelligence, remains yours. We process it only to deliver your contracted services.

You are responsible for providing accurate, truthful business information. By submitting your business data, you represent that you are authorized to manage the local listings and online presence of that business, and that the information you provide is accurate.

By using our services, you grant us a limited, non-exclusive license to use your business data solely for the purpose of delivering your contracted services. This includes submitting your business information to directories, installing schema on your website, optimizing your GBP, and running AI visibility scans. We do not share your business data with other clients or use it for any purpose beyond your service delivery.

Content we create for you as part of your service, including GBP descriptions, schema markup, Q&As, and reports, becomes your property upon full payment for the relevant billing period. Our platform, tools, methodologies, software, and proprietary processes remain the intellectual property of bizl.com.

9. Intellectual Property

bizl.com and all of its technology, software, tools, algorithms, methodologies, reports, designs, and content are the exclusive intellectual property of Bizl LLC and are protected by applicable copyright, trademark, and other intellectual property laws.

You may not reproduce, copy, modify, distribute, sublicense, reverse engineer, or create derivative works from our platform, tools, or proprietary content without our express written permission. Accessing our tools through automated means, bots, or scripts without authorization is prohibited.

10. Acceptable Use

You agree to use bizl.com only for lawful purposes and in accordance with these Terms. The following are prohibited:

• Using our services to optimize listings for a business you do not own or are not authorized to manage
• Providing false, misleading, or fraudulent business information in intake forms or account settings
• Using our platform to spam, harass, or send unsolicited communications to third parties
• Attempting to gain unauthorized access to our platform, other users' accounts, or our systems
• Using automated tools, bots, or scripts to access our platform without prior written authorization
• Reselling or sublicensing access to bizl.com without authorization (except under an approved agency agreement)
• Using our services in any manner that violates applicable laws, including anti-spam laws, consumer protection laws, or laws governing business representations
• Attempting to circumvent any security, access control, or rate-limiting mechanism on our platform

We reserve the right to terminate accounts that violate these acceptable use requirements, without refund.

11. Free Tools

Our free tools, AI Visibility Scanner, Schema Generator, Citation Audit Preview, and Competitor Gap Preview, are provided as-is for informational and preview purposes. Results from free tools are estimates based on a limited scan and are not comprehensive audits.

By using a free tool and submitting your email address, you agree to receive follow-up communications from our team regarding your results and our services. You may opt out of these communications at any time using the unsubscribe link in any email.

Free tools are provided without any warranty of any kind. We do not guarantee the accuracy, completeness, or fitness for any purpose of free tool results. Paid services include comprehensive analysis that substantially exceeds free tool previews.

12. Third-Party Services and Integrations

Our services interact with third-party platforms including Google Business Profile, Foursquare, directory websites, and your website's CMS. Your use of these third-party services is subject to their own terms and conditions. We are not responsible for third-party platform changes, outages, policy changes, or decisions that affect the delivery or effectiveness of our services.

Specifically, we cannot guarantee outcomes related to: Google's acceptance or rejection of GBP edits; Foursquare's verification timelines; directory websites' acceptance of submissions; or changes to AI engine algorithms or data sources that affect visibility results.

13. Agency and White-Label Terms

Agencies may use bizl.com to manage AI visibility services for their end clients. By using bizl.com for client accounts, you represent that your end clients have authorized you to manage their online listings, GBP, and website on their behalf, and that your clients have consented to the data practices described in our Privacy Policy.

Approved white-label partners may resell bizl.com services under their own branding. White-label eligibility and terms are determined at our discretion and governed by a separate white-label agreement. Contact us at support@bizl.com to inquire about white-label arrangements.

When you use bizl.com on behalf of an end client, you are responsible for ensuring that the data you provide is accurate and that you have the necessary authorizations. You remain responsible for compliance with these Terms on behalf of your end clients.

14. Results Disclaimer

Search engine and AI engine algorithms change frequently and without notice. Changes made by Google, OpenAI, Anthropic, xAI, Perplexity, or other platform operators can affect your visibility regardless of our optimization work. We will adapt our approach as these platforms evolve, but we cannot guarantee consistent performance across algorithm changes.

Case study results and testimonials on our website represent past performance of specific clients in specific markets and are not a guarantee of what results you will achieve. Results vary based on your starting position, market competitiveness, business category, review count, budget tier, and other factors.

Our commitment: We commit to performing the specific services described in your plan, using industry best practices, and acting in good faith to improve your AI visibility. If we make an error in performing your services, we will correct it at no additional cost.

15. Limitation of Liability

To the maximum extent permitted by applicable law:

• bizl.com's total liability for any claim arising from your use of our services is limited to the amount you paid us in the 3 months preceding the event giving rise to the claim
• We are not liable for indirect, consequential, incidental, punitive, or special damages, including lost profits, lost business opportunity, or loss of data, even if we have been advised of the possibility of such damages
• We are not liable for results achieved (or not achieved) by our services, beyond the service delivery obligations described in Section 7
• We are not liable for damages caused by third-party platform changes, outages, algorithm updates, or policy changes affecting Google, ChatGPT, Gemini, Perplexity, Foursquare, or any other platform

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless bizl.com, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your use of our services in any way that violates applicable law; (c) inaccurate or unauthorized business information you provide to us; or (d) your infringement of any third-party right.

17. Termination

You may cancel your subscription at any time as described in Section 6. Cancellation ends future billing but does not invalidate services already performed or paid for.

We reserve the right to suspend or terminate your account, without notice or refund, if: you violate these Terms; you provide fraudulent or materially inaccurate information; your account is used for unauthorized or illegal purposes; or your account poses a security risk to our platform or other users.

For non-material violations, we will generally attempt to contact you before suspension. For serious violations (fraud, illegal activity, security threats), we may act immediately.

On termination, your access to the platform ends. Work product already delivered (citations submitted, schema installed, reports generated) remains yours. We retain your data for the period described in our Privacy Policy.

18. Dispute Resolution and Arbitration

Before initiating any formal dispute, please contact us at support@bizl.com and give us 30 days to attempt to resolve the issue. Most disputes can be resolved quickly through direct communication.

If we cannot resolve a dispute through direct negotiation, both parties agree to resolve the dispute through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You agree that any dispute will be resolved on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights, without waiving the right to arbitrate other claims.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Bizl LLC is registered in the State of Delaware. If arbitration is not enforceable in your jurisdiction, disputes will be resolved in the state or federal courts located in Delaware.

19. General Provisions

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and bizl.com regarding your use of our services and supersede all prior agreements, representations, and understandings.

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the updated Terms and sending an email to registered users. Your continued use of bizl.com after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to modified Terms, you may cancel your account before they take effect.

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remainder of the Terms will continue in full effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, power failures, internet outages, third-party platform outages, government actions, or other force majeure events. We will communicate promptly about any such delays and resume normal service as quickly as reasonably possible.

You may not assign these Terms or your account rights without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
